Plain-English Summary
These Terms of Use govern access to and use of the International Probate Recovery Group, LLC website and public-facing online materials.
International Probate Recovery Group, LLC ("IPRG," "we," "us," or "our") provides non-legal operational, research, document-coordination, translation-coordination, public-records review, asset-location support, family-asset organization, and administrative coordination services connected to cross-border probate, inheritance, estate recovery, unclaimed assets, and related family-asset matters involving the United States and Brazil.
IPRG is not a law firm and does not provide legal, tax, accounting, investment, regulated financial, fiduciary, probate, estate-planning, or asset-management services. When those services are required, they must be provided by appropriately licensed professionals under separate engagement arrangements. Using the Website or contacting IPRG does not create an attorney-client, fiduciary, financial-advisory, tax-advisory, accountant-client, or other regulated professional-client relationship.
Please do not submit Social Security numbers, banking credentials, account logins, original identity documents, full financial or medical records, confidential legal documents, or other highly sensitive materials through the public contact form unless IPRG specifically requests them through an approved method.
No result, recovery, legal status, inheritance outcome, government action, or asset-location outcome is guaranteed.
1. Acceptance of These Terms
By accessing or using the Website, submitting a form, sending an inquiry, downloading materials, or otherwise communicating with IPRG through the Website, you agree to these Terms of Use and to our Privacy Policy. If you do not agree, do not use the Website or submit information through it.
For any paid service, active matter, or other business engagement, a separate written agreement, statement of work, invoice, authorization, or engagement confirmation may apply. If a separate written agreement conflicts with these Terms, the separate written agreement controls for the matter it covers.
These Terms apply only to IPRG's website and public-facing communications unless expressly incorporated into a separate agreement.
2. Who We Are
International Probate Recovery Group, LLC is a North Carolina limited liability company based in Charlotte, North Carolina, United States.
IPRG provides non-legal operational support connected to matters such as:
- Cross-border probate and inheritance coordination;
- U.S.-Brazil estate and family asset matters;
- Public-records review;
- Document procurement and organization;
- Translation coordination;
- Asset-location support;
- Unclaimed property research support;
- Administrative coordination with institutions, agencies, vendors, and separately engaged professionals;
- Factual timeline and document organization;
- Non-legal family-asset mapping; and
- Related non-legal business and operational support.
IPRG may coordinate with Brazilian-side business, document, translation, or administrative contacts, including AS Consultoria, and with independently retained attorneys, accountants, tax professionals, financial professionals, translators, researchers, notaries, courier providers, government offices, public registries, financial institutions, retirement systems, and unclaimed property offices, when appropriate, authorized, and lawful.
3. Non-Legal Services Only; No Practice of Law
The Website provides general information about IPRG's non-legal services, intake process, service descriptions, contact methods, and related operational materials. It is not intended to provide legal, probate, estate-planning, tax, accounting, investment, financial, fiduciary, insurance, immigration, or securities advice; court or agency representation; legal-document preparation for others; legal strategy or opinions; interpretation of legal rights; financial planning; asset management; or any other service reserved to licensed or regulated professionals. Nothing on the Website is legal advice or an offer to provide legal services.
IPRG is not a law firm and does not practice law in North Carolina, New York, any other U.S. state, Brazil, or any other jurisdiction. North Carolina law restricts the practice of law to licensed attorneys and prohibits non-attorneys from holding themselves out as qualified to give legal advice, prepare legal documents for others, or furnish legal services; see N.C. Gen. Stat. § 84-4 and § 84-5, as applicable. In Brazil, the practice of advocacy is regulated by the Estatuto da Advocacia e da Ordem dos Advogados do Brasil, Lei nº 8.906/1994, and related OAB rules; nothing on this Website provides Brazilian legal services, advertising, advice, or representation.
Where legal services are required, the relevant person must retain a duly licensed attorney under a separate engagement. IPRG may assist with non-legal coordination, factual organization, document organization, communication support, and operational support, but does not represent any person before any court, tribunal, probate or surrogate's court, registry, agency, or government authority as legal counsel.
4. No Professional Relationship; Separate Engagements; No Fee Sharing
Using the Website, submitting a form, sending an email, scheduling a call, or otherwise communicating with IPRG does not create an attorney-client, fiduciary, tax-advisor, financial-advisor, investment-advisor, accountant-client, trustee-beneficiary, executor-beneficiary, personal-representative, or other regulated professional-client relationship, or any relationship of representation before any court, agency, institution, or third party. Any legal, tax, accounting, financial, fiduciary, investment, insurance, estate-planning, or other regulated professional service must be separately agreed in writing with a duly licensed professional.
IPRG is not an attorney referral service, legal matching service, law firm, or legal marketplace. If IPRG identifies or communicates with a licensed attorney or law firm in connection with a matter, that activity is limited to non-legal administrative coordination unless a separate lawful agreement states otherwise. Any attorney-client relationship must be formed directly between the client and the attorney, subject to the applicable professional conduct rules, conflict checks, written disclosures, and engagement terms. Such coordination does not mean IPRG supervises, controls, guarantees, endorses, employs, or is responsible for those professionals, each of whom is responsible for that provider's own obligations, fees, advice, work product, timing, and compliance.
IPRG does not share attorney fees, legal fees, contingency fees, success fees, or any compensation reserved for attorneys unless expressly permitted by applicable law and professional conduct rules. IPRG's compensation, if any, must be for lawful non-legal services.
IPRG may decline or stop work where it believes the requested activity may involve unauthorized practice of law, unauthorized regulated activity, lack of authority, conflict, fraud, misrepresentation, unlawful access, or other compliance concerns.
5. No Guarantee of Recovery, Result, or Outcome
IPRG does not guarantee asset recovery, payment of any benefit, location of assets, confirmation of heirship, probate success, court approval, government or agency action, bank or insurer response, pension or retirement-system payment, unclaimed-property release, PSOB or other benefit eligibility, any tax, legal, financial, or investment result, family settlement, third-party cooperation, the accuracy or completeness of public records, the timeliness of government processing, or any other specific outcome.
Any examples, descriptions, timelines, values, asset categories, or service descriptions on the Website are illustrative only and are not promises, warranties, guarantees, or predictions.
6. Website Information Is General and May Become Outdated
The Website may include general information about cross-border probate, inheritance, estate recovery, public records, unclaimed assets, family asset organization, document coordination, U.S.-Brazil matters, and related topics. This information is general and operational only. Laws, deadlines, procedures, agency rules, public-record systems, court rules, professional rules, tax rules, and financial regulations can change, and information on the Website may be incomplete, outdated, or inapplicable to your specific facts.
You should not rely on the Website as a substitute for advice from qualified legal, tax, accounting, financial, investment, fiduciary, insurance, or other licensed professionals.
7. Your Responsibilities
You agree that you will:
- Provide truthful, accurate, current, and complete information;
- Submit information only if you have the authority to do so;
- Not impersonate any person or entity, or misrepresent your identity, relationship, authority, heirship status, power of attorney, court appointment, business authority, or legal status;
- Not submit information or documents obtained by unlawful means, or forged, altered, fraudulent, misleading, or unauthorized documents;
- Not use the Website to harass, threaten, defame, exploit, abuse, or harm any person;
- Not attempt to access any non-public system, account, file, form backend, database, email account, administrative dashboard, or server;
- Not upload malware or harmful code, or use bots, scrapers, crawlers, or bulk data extraction except as permitted by standard search-engine indexing;
- Not interfere with the security, availability, integrity, or performance of the Website;
- Not use the Website for unlawful, deceptive, fraudulent, abusive, or unauthorized purposes;
- Not submit highly sensitive information through public forms unless specifically requested through an approved method; and
- Not attempt to create a false relationship, false emergency, false authorization, or false claim.
IPRG may reject, ignore, delete, block, preserve, report, or take other appropriate action regarding submissions that appear unauthorized, fraudulent, abusive, unlawful, unsafe, or outside IPRG's service scope.
8. Authority to Submit Information About Others
Because IPRG's work may involve heirs, family members, estates, surviving spouses, beneficiaries, representatives, companies, deceased persons, public records, financial institutions, and asset claims, authority matters.
By submitting information about another person, family, estate, company, deceased person, beneficiary, heir, spouse, child, representative, account, asset, claim, or institution, you represent that:
- You have the authority to submit that information;
- The information was lawfully obtained;
- The submission does not violate any court order, confidentiality obligation, power-of-attorney limitation, fiduciary duty, privacy right, professional rule, contractual obligation, or applicable law;
- You are not using IPRG to improperly access another person's private information or to bypass a court, attorney, fiduciary, executor, administrator, trustee, guardian, conservator, spouse, heir, beneficiary, or legal representative; and
- You will provide proof of authority if requested.
IPRG may request proof of identity, relationship, authorization, power of attorney, court appointment, client authorization, or corporate authority before reviewing, relying on, sharing, acting on, or continuing to process information submitted by you or on your behalf.
9. Sensitive Information
Do not submit highly sensitive information, such as Social Security or taxpayer identification numbers, passport or other identity-document images, banking credentials, account logins, passwords, full financial or medical records, or confidential legal documents, through the public contact form unless IPRG specifically requests it through an approved method. The Privacy Policy describes the categories of sensitive information and how IPRG handles them.
If a matter requires sensitive documents, IPRG may provide additional instructions and may require written authorization, identity verification, proof of authority, or coordination through separately retained counsel or another licensed professional.
10. Public Records and No Circumvention
IPRG may use public records and lawful research sources in connection with authorized non-legal support, as further described in the Privacy Policy. IPRG does not use impersonation, pretexting, misrepresentation, unauthorized access, credential misuse, unlawful data acquisition, hacking, or unlawful surveillance.
IPRG's document coordination, public-record review, estate recovery support, and asset-location support are non-legal and do not replace court procedures, probate or estate administration, attorney judgment, fiduciary obligations, agency rules, or licensed professional services. IPRG will not knowingly assist a user in evading a court order; bypassing a duly appointed executor, administrator, personal representative, trustee, guardian, conservator, fiduciary, attorney, or other lawful representative; misrepresenting legal authority; obtaining records without authorization; interfering with an estate, probate matter, trust, guardianship, or administration; concealing assets; defrauding heirs, beneficiaries, spouses, creditors, agencies, institutions, or courts; making false claims; violating confidentiality or privacy obligations; or engaging in unlawful activity.
11. Privacy, Data, and International Transfers
Your use of the Website is also governed by IPRG's Privacy Policy, which explains how IPRG may collect, use, disclose, protect, retain, and process information, including across the United States and Brazil. By using the Website or submitting information, you acknowledge that IPRG may process information as described in the Privacy Policy, subject to applicable law, user authorization, and IPRG's non-legal service boundaries.
Because IPRG supports U.S.-Brazil matters, information may be processed, stored, reviewed, transmitted, or coordinated in the United States, Brazil, or other locations where authorized service providers or professional contacts operate, including AS Consultoria when relevant. Where personal data is submitted from or about individuals in Brazil, the Lei Geral de Proteção de Dados Pessoais, Lei nº 13.709/2018 ("LGPD"), may apply, and the Privacy Policy describes IPRG's approach to it. Nothing in these Terms limits any non-waivable privacy or data-protection rights you may have under applicable law.
12. Electronic Communications, Records, and Signatures
By contacting IPRG electronically, submitting a form, checking a consent box, signing electronically, or otherwise communicating electronically, you consent to electronic communications and records to the extent permitted by applicable law. Electronic records and signatures may have legal effect under laws such as the federal Electronic Signatures in Global and National Commerce Act ("E-SIGN Act"), 15 U.S.C. § 7001 et seq., and the North Carolina Uniform Electronic Transactions Act, N.C. Gen. Stat. Chapter 66, Article 40.
Some documents, notices, court filings, estate documents, wills, codicils, testamentary trusts, notarized documents, apostilles, certified records, or government forms may require paper originals, wet signatures, notarization, apostille, official certification, court filing, or licensed professional review. IPRG does not guarantee that any electronic communication, uploaded document, scanned signature, or form submission will satisfy the requirements of any court, agency, bank, retirement system, insurer, registry, foreign authority, or professional rule.
13. Email and Marketing Communications
IPRG may send emails to respond to inquiries, coordinate authorized matters, provide requested information, deliver documents, send operational updates, or communicate about services. If IPRG sends commercial or marketing emails, IPRG will use reasonable efforts to comply with applicable email-marketing laws, including the CAN-SPAM Act, 15 U.S.C. § 7701 et seq., where applicable.
You may ask IPRG to stop sending marketing communications using the unsubscribe method provided or by contacting contact@internationalprobaterecoverygroup.com. Administrative, transactional, security, legal, recordkeeping, or matter-related communications may continue where appropriate or required.
14. Website Security and Prohibited Technical Conduct
You may not attempt to compromise, test, bypass, disable, disrupt, or interfere with the Website or related systems without express written authorization. Prohibited conduct includes, without limitation, unauthorized access, credential attacks, credential stuffing, phishing, scraping non-public systems, exploiting vulnerabilities, introducing malicious code, bypassing security controls, probing administrative endpoints, denial-of-service attacks, interfering with hosting, DNS, forms, email, analytics, logs, or security tools, attempting to access form submissions or administrative accounts, reverse engineering non-public systems, harvesting contact information for spam, and any use that violates the Computer Fraud and Abuse Act, 18 U.S.C. § 1030, state computer-crime laws, anti-spam laws, or other applicable law.
IPRG may monitor, log, block, report, preserve, investigate, or respond to suspected abuse, security incidents, unauthorized access attempts, or unlawful activity.
15. Intellectual Property
The Website, including text, layout, design, graphics, logos, trade names, service descriptions, workflows, documents, templates, forms, downloads, images, branding, and the selection and arrangement of materials, is owned by IPRG or its licensors unless otherwise stated.
You may view, download, and print materials for your personal, internal, informational, or authorized matter-related use only. You may not copy, reproduce, modify, adapt, publish, sell, license, distribute, scrape, mirror, frame, republish, create derivative works from, or commercially exploit Website materials without IPRG's prior written permission. Nothing in these Terms transfers ownership of any IPRG intellectual property, brand asset, trade name, logo, template, workflow, methodology, or digital asset.
16. Copyright Complaints and DMCA Notices
If you believe material on the Website infringes your copyright, you may send a notice to:
International Probate Recovery Group, LLC Copyright Contact: contact@internationalprobaterecoverygroup.com Location: Charlotte, North Carolina, United States
Your notice should include:
- Identification of the copyrighted work claimed to be infringed;
- Identification of the material claimed to be infringing and information reasonably sufficient to locate it;
- Your contact information;
- A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and
- A physical or electronic signature.
IPRG may remove or disable access to allegedly infringing material where appropriate. If IPRG later permits user-generated content or seeks full safe-harbor protection under the Digital Millennium Copyright Act, 17 U.S.C. § 512, IPRG may need to designate a DMCA agent with the U.S. Copyright Office and publish designated-agent information as required by law.
17. Trademarks
"International Probate Recovery Group," "IPRG," and related names, logos, service names, and brand elements may be trademarks, trade names, service marks, or business identifiers of IPRG or its affiliates, partners, or licensors. You may not use IPRG's name, logo, trade name, service name, or confusingly similar branding in a way that falsely suggests affiliation, endorsement, sponsorship, authorization, partnership, legal representation, attorney referral, or agency.
18. Third-Party Links and Services
The Website or IPRG communications may include links or references to third-party websites, government databases, public records, law firms, attorneys, accountants, translators, financial professionals, public agencies, professional directories, payment tools, cloud platforms, or other resources. These are not controlled by IPRG, and IPRG is not responsible for their availability, accuracy, security, privacy practices, content, advice, fees, terms, or actions. You should review third-party terms and privacy policies before submitting information to them. A link or reference does not imply endorsement, guarantee, recommendation, agency, partnership, or responsibility unless expressly stated in a separate written agreement.
19. Payments, Fees, and Costs
The Website may describe general service categories, but no fee, scope, timeline, deliverable, or engagement is established unless confirmed in a separate written agreement, statement of work, invoice, written authorization, or engagement confirmation. Any fees charged by IPRG must be for lawful non-legal services.
Third-party costs may include, without limitation, government and court-record fees, certified copy fees, apostille or authentication costs, courier costs, translation vendor fees, database costs, public-record retrieval costs, notary costs, professional fees charged directly by licensed professionals, and other out-of-pocket costs. Legal fees, attorney fees, tax-professional fees, accountant fees, financial-professional fees, fiduciary fees, investment-adviser fees, court costs, and agency filing fees are separate unless expressly included in a lawful written agreement.
20. Refunds and Cancellations
Refunds, cancellations, cost reimbursements, deposits, retainers, project fees, hourly fees, milestone fees, and administrative fees will be governed by the applicable written agreement, statement of work, invoice, or written confirmation. If no separate written refund term applies, IPRG may evaluate refund requests case by case based on work performed, costs incurred, third-party fees, administrative time, non-cancellable expenses, and the nature of the service. Nothing in this section limits non-waivable rights under applicable consumer-protection laws.
21. No Reliance for Urgent Deadlines
The Website is not designed for urgent legal deadlines, court filings, emergency injunctions, imminent asset dissipation, or other time-sensitive proceedings. If you face an urgent legal, court, probate, agency, tax, or financial deadline, or a risk of irreparable harm, contact a licensed attorney, court, agency, financial institution, or other appropriate professional immediately. IPRG does not guarantee that emails, contact forms, voicemail, or website submissions will be reviewed or answered within any specific period.
22. Accessibility
IPRG intends for the Website to be reasonably accessible and usable. If you have difficulty accessing Website content, contact us at contact@internationalprobaterecoverygroup.com and describe the issue, the page involved, your assistive technology if applicable, and the format you need. IPRG will use reasonable efforts to address accessibility concerns where practical and appropriate. Nothing in this section waives any rights or obligations under the Americans with Disabilities Act ("ADA") or other applicable accessibility laws.
23. Children's Use
The Website is intended for adults and authorized representatives involved in family, estate, inheritance, asset, or business matters, and is not intended for children under 13. Do not submit information about a minor unless you are authorized to do so and the submission is lawful, necessary, and appropriate. If you believe a child submitted information through the Website without proper authorization, contact IPRG so the matter can be reviewed.
24. User Submissions and License to Use Submitted Materials
If you submit information, documents, messages, files, summaries, images, records, or authorizations to IPRG, you grant IPRG a limited, non-exclusive, worldwide, royalty-free license to use, copy, transmit, store, review, organize, translate, summarize, disclose, and process those materials solely as reasonably necessary to respond to your inquiry, evaluate whether IPRG can assist, perform authorized non-legal services, coordinate with authorized service providers or licensed professionals, maintain business records, protect legal rights, comply with legal obligations, prevent fraud or abuse, and carry out purposes described in the Privacy Policy and applicable written agreements.
You retain your own rights in materials you submit, subject to IPRG's right to maintain records and use information for authorized, lawful, and legitimate business purposes. You represent that you have all rights, permissions, and authority necessary to submit materials to IPRG and allow IPRG to use them as described in these Terms and the Privacy Policy.
25. Confidentiality Limits
IPRG treats sensitive matter information with care and uses reasonable safeguards. However, confidentiality through the Website is not the same as attorney-client privilege, attorney work-product protection, fiduciary confidentiality, court-sealed confidentiality, or any professional privilege. Submitting information to IPRG does not make that information privileged. If privileged, confidential, legally sensitive, or regulated professional information is involved, consult a licensed attorney or appropriate professional before submitting it.
IPRG may disclose information where authorized, required, reasonably necessary, or legally permitted, including to service providers, authorized professionals, AS Consultoria, government agencies, institutions, courts, or regulators, as described in the Privacy Policy and these Terms.
26. Disclaimers of Warranties
The Website and all Website materials are provided on an "as is," "as available," and "with all faults" basis. To the fullest extent permitted by law, IPRG disclaims all warranties, express or implied, including warranties of accuracy, completeness, reliability, timeliness, merchantability, fitness for a particular purpose, non-infringement, availability, security, and error-free operation.
IPRG does not warrant that the Website will be uninterrupted, error-free, or secure from all threats; that Website information will be complete or current; that any form submission will be received or any email delivered; that any document will be accepted by a court, agency, bank, insurer, retirement system, registry, or institution; that any public-record search will locate all relevant records; or that any matter will be accepted, any asset located, any recovery achieved, or any third party will cooperate. Some jurisdictions do not allow certain warranty disclaimers, so some limitations may not apply to you.
27. Limitation of Liability
To the fullest extent permitted by applicable law, IPRG and its owners, members, managers, officers, employees, contractors, affiliates, partners, service providers, and representatives will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost opportunities, lost recoveries, lost data, loss of goodwill, business interruption, emotional distress, reputational harm, delay, third-party conduct, or failure to recover assets, even if IPRG was advised of the possibility of such damages.
To the fullest extent permitted by applicable law, IPRG's aggregate liability arising from or relating to Website use, Website content, public forms, preliminary communications, or non-paid interactions will not exceed US $100.
For paid services, IPRG's liability, if any, will be governed by the applicable written agreement. If no separate written limitation applies, IPRG's aggregate liability for paid non-legal services will not exceed the amount paid to IPRG for the specific service giving rise to the claim during the six months before the event giving rise to liability. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
28. Indemnification
You agree to defend, indemnify, and hold harmless IPRG and its owners, members, managers, officers, employees, contractors, affiliates, partners, service providers, and representatives from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
- Your use or misuse of the Website;
- Your violation of these Terms or applicable law;
- Your unauthorized submission of information;
- Your misrepresentation of identity, authority, relationship, heirship, authorization, or legal status;
- Your submission of false, misleading, forged, altered, unauthorized, confidential, privileged, or unlawfully obtained materials;
- Your infringement of intellectual property, privacy, publicity, confidentiality, contractual, fiduciary, or other rights;
- Your attempt to obtain information without lawful authority;
- Your interference with Website security or operation;
- Your dispute with another person, heir, beneficiary, spouse, family member, estate representative, professional, institution, agency, or third party; or
- Any claim that materials you submitted caused harm to another person or entity.
IPRG reserves the right to assume exclusive defense and control of any matter subject to indemnification, at your expense where permitted by law. You agree to cooperate with IPRG's defense of such claims.
29. Governing Law; Non-Waivable Rights
These Terms and any dispute arising from or relating to the Website, Website materials, public forms, online communications, or preliminary non-legal interactions with IPRG are governed by the laws of the State of North Carolina, United States of America, without regard to conflict-of-law rules, except where applicable law requires otherwise.
For users located outside North Carolina, including users in Brazil, nothing in these Terms is intended to exclude, restrict, or waive any consumer, privacy, data-protection, professional-regulation, or public-order protection that cannot legally be waived.
30. Dispute Resolution and Venue
Before filing any claim arising from or relating to Website use, Website content, public forms, online communications, or preliminary non-legal interactions with IPRG, you agree to first contact IPRG at contact@internationalprobaterecoverygroup.com and attempt to resolve the matter informally.
If the dispute is not resolved informally, and unless a separate written agreement provides otherwise, any lawsuit or court proceeding arising out of or relating to these Terms or the Website must be brought in the state or federal courts located in Mecklenburg County, North Carolina, to the fullest extent permitted by law, and you consent to personal jurisdiction and venue in those courts. If a separate written agreement contains an arbitration, mediation, forum-selection, venue, or governing-law clause, that agreement controls for the matter it covers.
IPRG may seek temporary, preliminary, emergency, injunctive, or other appropriate relief in any court of competent jurisdiction to protect Website security, intellectual property, confidential information, data, records, business interests, users, third parties, or legal rights.
31. Time Limitation for Claims
To the fullest extent permitted by law, any claim arising out of or relating to the Website, Website content, public forms, online communications, or preliminary non-legal interactions with IPRG must be brought within one year after the claim accrues, unless a longer period is required by applicable law or a separate written agreement.
32. Consumer Rights
Some users may have rights under state, federal, Brazilian, or other consumer-protection laws. In North Carolina, unfair or deceptive acts or practices in or affecting commerce are regulated under N.C. Gen. Stat. § 75-1.1, subject to the statute's scope and limitations. In Brazil, certain consumer relationships may be subject to the Código de Defesa do Consumidor, Lei nº 8.078/1990, depending on the nature of the user, transaction, service, and jurisdictional connection. Nothing in these Terms excludes or waives any consumer, privacy, data-protection, professional-regulation, or public-order protection that cannot legally be waived.
33. Changes to These Terms
IPRG may update these Terms from time to time to reflect changes in the Website, services, technology, business practices, providers, legal obligations, or risk controls. The updated version will be identified by the "Last Updated" date above. Continued use of the Website after updated Terms are posted means the updated Terms apply to future use. Material changes to paid engagements or active matters will be handled through the applicable written agreement where required.
34. Suspension, Blocking, or Termination of Access
IPRG may suspend, block, restrict, or terminate access to the Website or communications channels if IPRG believes a user has violated these Terms, submitted unauthorized information, engaged in abusive or unlawful conduct, threatened security, violated another person's rights, attempted unauthorized access, or otherwise created legal, operational, privacy, security, or reputational risk. IPRG may also preserve records, report conduct, cooperate with lawful requests, or take other appropriate action to protect rights, safety, security, confidentiality, property, users, third parties, or legal claims.
35. Severability
If any provision of these Terms is held invalid, illegal, overbroad, or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable. If modification is not permitted, the provision will be severed, and the remaining provisions will remain in full force and effect.
36. No Waiver
IPRG's failure to enforce any provision of these Terms does not waive IPRG's right to enforce that provision later. A waiver must be in writing and signed by an authorized representative of IPRG.
37. Assignment
You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without IPRG's prior written consent. IPRG may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, transfer of Website operations, or similar business transaction, subject to applicable law.
38. Entire Agreement for Website Use
These Terms, together with the Privacy Policy and any other notices posted on the Website, constitute the entire agreement between you and IPRG regarding Website use and public-facing online interactions. Separate written agreements may govern paid services, active matters, project scopes, confidentiality obligations, professional coordination, document procurement, research work, or other business engagements.
